Pricing & Billing Policy

This Pricing & Billing Policy (“Policy”) governs subscription fees, usage-based charges, invoicing, and payment terms for GFX Enterprise (“GFX,” “we,” “us,” or “our”) Services.

This Policy forms part of the GFX Enterprise Terms of Service and applies to all customers unless superseded by a separately negotiated enterprise agreement.

1. Pricing Structure

GFX Enterprise offers three deployment models:

  • Engage – AI-powered conversational engagement

  • Commerce – Conversational commerce integrated with existing systems

  • Platform – Full AI-native webstore and infrastructure

Each deployment model may include tier-based subscription plans (e.g., Growth, Scale, Enterprise/Advanced).

Pricing typically consists of:

  1. Base Subscription Fee

  2. Usage-Based Charges

  3. One-Time Setup Fees (where applicable)

  4. Optional Add-Ons or Custom Development Fees

2. Subscription Fees

2.1 Billing Frequency

Subscription fees are billed:

  • Monthly in advance, or

  • Annually in advance (discounted where applicable)

The billing cycle is defined in the applicable Order Form.

2.2 Private Cloud Infrastructure

All plans include dedicated or logically isolated private cloud infrastructure. Infrastructure costs are embedded in subscription pricing unless otherwise specified.

3. Usage-Based Billing

Certain services are billed based on usage beyond included limits.

These may include:

  • AI token usage

  • API calls

  • Bandwidth

  • Storage

  • Conversational commerce events

  • Additional traffic capacity

Usage-based charges are:

  • Calculated based on actual consumption

  • Invoiced monthly in arrears

  • Detailed in usage reports where applicable

Sustained overages may require plan upgrades.

4. AI Usage Charges

AI usage may be calculated based on:

  • Token consumption

  • Interaction volume

  • Workflow execution

  • Model configuration

Per-unit pricing (e.g., per 10,000 tokens) is defined in the Order Form.

Customers are responsible for monitoring usage within allocated limits.

5. Setup & Implementation Fees

One-time setup fees may apply to:

  • Platform deployment

  • System configuration

  • Integration services

  • Data migration

  • AI tuning

  • Custom workflows

Setup fees are invoiced upon execution of the agreement and are non-refundable unless otherwise agreed.

6. Custom Development

Custom development, feature extensions, or enterprise integrations outside standard scope are:

  • Quoted separately

  • Billed on milestone or time-and-material basis

  • Governed by a separate Statement of Work (SOW)

7. Payment Terms

Unless otherwise agreed in writing:

  • Payment is due within 15–30 days of invoice date

  • Late payments may incur interest charges

  • GFX reserves the right to suspend Services for overdue accounts

All fees are exclusive of applicable taxes (GST, VAT, withholding tax, etc.).

8. Taxes

Customers are responsible for:

  • All applicable taxes, duties, and levies

  • Withholding tax compliance (where applicable)

Invoices will reflect tax obligations in accordance with local regulations.

9. Refund Policy

Subscription fees are generally non-refundable.

Exceptions may apply:

  • As required by law

  • As explicitly agreed in writing

  • In cases of material breach by GFX

Usage-based fees are non-refundable once incurred.

10. Plan Changes & Upgrades

Customers may:

  • Upgrade plans during the subscription term

  • Increase usage capacity

Downgrades may:

  • Take effect at the next billing cycle

  • Be subject to minimum contract commitments

11. Renewal

Subscriptions automatically renew unless:

  • Written notice is provided prior to renewal date

  • Otherwise specified in the Order Form

Renewal pricing may be subject to periodic adjustments.

12. Pricing Modifications

GFX reserves the right to update pricing for:

  • New customers

  • New features

  • Infrastructure cost changes

Existing contracted pricing remains valid for the duration of the agreed term.

13. Suspension for Non-Payment

GFX may suspend Services if:

  • Payment is overdue beyond agreed terms

  • Repeated billing failures occur

Access may be restored upon payment of outstanding balances.

14. Enterprise Agreements

Where a separate Master Services Agreement (MSA) or Enterprise Contract exists, that agreement shall govern in the event of conflict with this Policy.
