Terms of Services

These Terms of Service (“Terms”) govern access to and use of the GFX Enterprise platform, products, and services (“Services”) provided by GFX Enterprise (“GFX,” “we,” “us,” or “our”).
By accessing or using the Services, the customer entity (“Customer,” “you,” or “your”) agrees to be bound by these Terms.
1. Scope of Services
GFX Enterprise provides AI-native enterprise infrastructure including, but not limited to:

AI Core models
-
Agentic intelligence systems
-
Conversational engagement systems
-
Commerce orchestration
-
AI-native webstore deployment (where applicable)
-
Enterprise-grade private cloud infrastructure
Services may be delivered under Engage, Commerce, or Platform deployment models as defined in the applicable Order Form or Agreement.
2. Eligibility
The Services are intended for enterprise customers and authorized business entities. By entering into this Agreement, you represent that:

You are authorized to bind your organization.

You will use the Services in compliance with all applicable laws and regulations.
3. Deployment & Infrastructure
All GFX Enterprise deployments operate on dedicated or logically isolated private cloud environments, unless otherwise agreed in writing.
Customer acknowledges that:

Infrastructure configurations are defined in the applicable contract.
-
Multi-region deployment, SLA tiers, and custom infrastructure may be subject to separate agreements.
-
Infrastructure modifications outside standard configuration may incur additional charges.
4. AI Systems & Agentic Operations
GFX Enterprise provides AI-driven systems configured for enterprise use cases.
Customer acknowledges:

AI outputs are probabilistic in nature.
-
Customer remains responsible for reviewing critical outputs before operational decisions.
-
AI systems are designed to assist, not replace, human oversight.
GFX does not guarantee specific business outcomes unless contractually agreed in writing.
5. Customer Responsibilities
Customer agrees to:

Provide accurate product, catalog, and operational data.
-
Maintain compliance with applicable consumer protection and commerce laws.
-
Ensure lawful usage of AI-generated outputs.
-
Maintain proper governance over end-user interactions.
Customer is solely responsible for:
-
Pricing decisions
-
Inventory accuracy
-
Regulatory compliance
-
End-customer contractual obligations
6. Data Ownership & Usage
6.1 Customer Data
Customer retains ownership of all data provided to GFX, including:

Product data
-
Customer interaction data
-
Transactional data
6.2 Data Processing
GFX may process data solely to:
-
Deliver Services
-
Improve system performance
-
Ensure security and reliability
Unless otherwise agreed, GFX will not sell or disclose customer data to third parties.
6.3 AI Model Training
Customer-specific data will not be used to train generalized public AI models without explicit written consent.
7. Security & Compliance
GFX implements enterprise-grade security controls including:

Role-based access control (RBAC)
-
Secure authentication
-
Data isolation
-
Logging and audit capabilities
Customer remains responsible for internal access governance and regulatory compliance within its organization.
8. Confidentiality
Both parties agree to maintain confidentiality of:

Business information
-
Technical architecture
-
Pricing terms
-
Proprietary materials
Confidential information shall not be disclosed without written consent unless required by law.
9. Fees & Payment
Fees are defined in the applicable Order Form.
Unless otherwise agreed:

Subscription fees are billed monthly or annually in advance.
-
Usage-based overages (AI tokens, storage, bandwidth, API calls) are billed in arrears.
-
Late payments may incur interest or service suspension.
All fees are exclusive of applicable taxes.
10. Intellectual Property
GFX retains ownership of:

Platform software
-
AI Core architecture
-
Agentic systems
-
Underlying infrastructure designs
Customer retains ownership of:
-
Its brand assets
-
Product data
-
Customer data
No transfer of intellectual property occurs except as expressly provided in writing.
11. Service Availability & SLA
Service levels may be governed by a separate Service Level Agreement (SLA).
GFX does not guarantee uninterrupted or error-free operation unless expressly stated in a signed SLA.
Scheduled maintenance may occur with reasonable notice.
12. Acceptable Use
Customer agrees not to use the Services to:

Violate laws or regulations
-
Infringe intellectual property rights
-
Disseminate harmful or misleading content
-
Attempt unauthorized access or reverse engineering
GFX reserves the right to suspend Services for violations.
13. Limitation of Liability
To the maximum extent permitted by law:

GFX shall not be liable for indirect, incidental, or consequential damages.
-
Total liability shall not exceed fees paid by Customer in the preceding 12 months.
Nothing in this clause limits liability for fraud or willful misconduct where prohibited by law.
14. Indemnification
Customer agrees to indemnify and hold harmless GFX from claims arising out of:

Customer content or data
-
Regulatory violations
-
Misuse of AI outputs
-
Breach of these Terms
15. Term & Termination
These Terms remain effective for the duration of the subscription.
Either party may terminate:

For material breach with notice and cure period
-
As defined in the Order Form
Upon termination:
-
Access will cease
-
Customer data will be returned or deleted as agreed
-
Outstanding fees remain payable
16. Governing Law
These Terms shall be governed by the laws of [Insert Jurisdiction].
Disputes shall be subject to the exclusive jurisdiction of courts located in [Insert Location].
17. Amendments
GFX may update these Terms from time to time. Material changes will be communicated via official channels.
Continued use of Services constitutes acceptance of updated Terms.
18. Entire Agreement
These Terms, along with the applicable Order Form and SLA, constitute the entire agreement between the parties.
