Refund & Cancellation Policy

This Refund & Cancellation Policy (“Policy”) governs subscription cancellations, refunds, and related financial terms for GFX Enterprise (“GFX,” “we,” “us,” or “our”) Services.

This Policy forms part of the GFX Enterprise Terms of Service and applies unless superseded by a separately negotiated Master Services Agreement (MSA) or Order Form.

1. Nature of Services

GFX Enterprise provides AI-native enterprise infrastructure, including:

  • AI Core systems

  • Agentic intelligence

  • Conversational commerce systems

  • Private cloud deployments

  • Custom integrations and development

Due to the enterprise and infrastructure-based nature of the Services, refunds are limited as outlined below.

2. Subscription Fees

2.1 Monthly Subscriptions

  • Monthly subscription fees are billed in advance.

  • Customers may cancel before the next billing cycle.

  • Fees already paid for the current billing period are non-refundable.

Access remains active until the end of the paid billing cycle.

2.2 Annual Subscriptions

  • Annual subscriptions are billed upfront at a discounted rate.

  • Annual subscription fees are non-refundable once the term begins.

  • Early termination does not entitle the Customer to a pro-rated refund unless explicitly agreed in writing.

3. Usage-Based Charges

Usage-based fees (including but not limited to AI tokens, API calls, bandwidth, storage, or transaction events):

  • Are billed in arrears based on actual usage

  • Are non-refundable once incurred

  • Remain payable even if Services are later cancelled

4. Setup & Implementation Fees

One-time setup, onboarding, configuration, or integration fees are:

  • Non-refundable once implementation has commenced

  • Considered earned upon delivery of agreed deployment milestones

5. Custom Development

Custom development services delivered under a Statement of Work (SOW):

  • Are non-refundable

  • Are billed per agreed milestone or time commitment

  • May not be cancelled once development has started, unless mutually agreed

6. Pilot Programs

Where GFX Enterprise offers a limited-duration pilot:

  • Pilot fees are non-refundable unless otherwise stated in writing

  • Pilot termination does not obligate GFX to provide pro-rated refunds

  • Any credit toward future plans must be explicitly defined in the pilot agreement

7. Termination for Breach

If Services are terminated due to:

  • Violation of the Acceptable Use Policy

  • Material breach of contract

  • Non-payment

No refunds shall be issued.

8. Termination by GFX

If GFX terminates Services due to:

  • Material failure on GFX’s part

  • Prolonged service unavailability not covered under SLA

Refund eligibility will be assessed in accordance with the applicable agreement and SLA.

9. Service Suspension

Suspension due to non-payment or compliance review does not constitute cancellation and does not entitle Customer to a refund.

10. Data Access After Cancellation

Upon cancellation or termination:

  • Customer access to Services will cease at the end of the billing term

  • Data export may be available for a limited period as defined in the Terms of Service

  • Extended data retention services may incur additional fees

11. Force Majeure

Refunds will not be issued for interruptions caused by events beyond reasonable control, including:

  • Natural disasters

  • Government actions

  • Infrastructure failures outside GFX’s control

12. Governing Agreement

Where a separate enterprise agreement exists, the refund and cancellation terms in that agreement shall prevail.
